Terms of Use of Fitzone Platform by Customers

These Terms of Use (“Terms of Use”) mandate the terms on which the users access and register on the ‘Fitzone’ website, m-web and mobile application (collectively referred to as the “Platform”), operated by Fitzone Technologies Private Limited (hereinafter referred to as “We” or “Our” or “Us” or “Company” or “Fitzone”) and the Platform Services (as defined below), provided through the Platform.

This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as amended. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Please read the Terms of Use and Privacy Policy (Annexure-I) carefully before using or registering on the Platform or accessing any material, information, or Platform Services. Your access to or use of the Platform (even without availing any services) or booking/purchasing any Platform Services signifies your acceptance of these Terms of Use and the Privacy Policy, and your agreement to be legally bound by them.

These Terms of Use do not alter any other written agreement you may have with the Platform for other services.

Applicability

These Terms of Use apply to all users/customers/vendors of the Platform, including:

Any supplier of goods/services (individual, professional, entity, or institution) on the Platform, including their associates, employees, partners, and practitioners (“Partner”, “Customer/Vendor”, “Users”);
An individual who accesses, registers on the Platform, and/or places a service request (“End-User”, “Customer/Vendor”, “Users”);
Any other user or visitor of the Platform (“Customer/Vendor”, “Users”).

Platform Services

The Platform is a web service that allows users to avail services and buy products directly from the Company as well as from various Partners. The Services and Products available include:

Fitness Services: Fitzone’s physical fitness centre memberships/classes and allied services, provided by Fitzone Technologies Private Limited and its franchisees.
Fitzone Services: Memberships granting access to various third-party fitness centres, gyms, studios, training centres, etc. (“Fitzone Service Provider”).
Digital Services:
- Digital Content Services: Pre-recorded or self-guided audio/video content relating to physical/mental fitness, nutrition, live experiences, etc.
- Digital Training Services: Real-time audio/video consultancy, coaching, or training sessions with Partners.
Diverse Booking Services: Booking appointments/sessions and communicating instructions for delivery of products.
Procurement, generation, and sharing of usage/consumption data related to the above services.

Important Note: The Platform and Partners do not have actual control over the quality or operations of third-party Fitzone Service Providers and disclaim all liability arising from your use of their services.

Eligibility for Fitness Services and Fitzone Services

You must:

Be at least 18 years of age;
Be competent to enter into a contract under applicable laws.

If you are under the legal age in your jurisdiction, your parent/guardian shall indemnify the Company, Partners, and Service Providers against any losses arising from your breach.

Association & Risk Acknowledgment

No guarantees are provided regarding duration, type, or satisfaction from Fitness or Fitzone Services.
Participation involves inherent risks. You voluntarily assume all risks and release the Company, Partners, and Service Providers from liability.

Fair Usage Policy

Limited/Select Memberships: Access restricted to your primary/home centre only. No changes allowed.
Unlimited Memberships: Access to other centres possible, but subject to restrictions and availability. Misuse may lead to penalties or termination.
Fitzone Memberships: Access subject to availability on a first-come-first-serve basis. Misuse may result in penalties or suspension.
Excessive/last-minute cancellations may attract penalties.
Membership transfer to another person is allowed only once, subject to approval and fees.
You must abide by the Centre’s Code of Conduct / House Rules.
The Company/Partners may suspend or terminate your membership for violations.

You consent to sharing your health records with the Company and Service Providers for service delivery.

Digital Services

Fitzone facilitates:

Digital Content Services (pre-recorded content) – for personal, non-commercial use only.

Terms for Digital Services

Sessions must be booked in advance.
Memberships/Single Sessions are non-transferable and non-refundable.
You must be physically and medically fit to participate.
Participation involves inherent risks — you assume all risks and release the Company/Partners from liability.
Energy scores and leaderboards are approximate; accuracy not guaranteed.
Sessions may be recorded for quality and safety purposes.
The Platform acts only as an intermediary for third-party service providers.

Eligibility for Digital Services

Minimum 18 years of age and legally competent to contract.

Diverse Offerings

Diverse Products

Multi-brand merchandise etc. sold on the Platform. No guarantees on exact finish, appearance, size, or color.

Diverse Booking Services

You consent to sharing health/medical records.
Appointments can be cancelled/rescheduled subject to timelines.
The Company is not liable for inconvenience due to rescheduling/cancellation except as specified.

You are encouraged to provide honest feedback after availing services.

Grievance Redressal

In case of dissatisfaction, first file a formal complaint at grievances@fit.zone. The Company’s decision shall be final.

Terms Specific to Service Providers (Digital Services)

Service Providers must:

Provide services professionally and in compliance with laws and Platform policies.
Give 2 weeks’ notice for any changes in schedule.
Not discriminate against users.
Maintain confidentiality of statistical data.
Not infringe any intellectual property rights.
Indemnify the Platform against third-party claims.

Serious complaints may lead to immediate delisting of the Service Provider.

Acceptance of Terms of Use

By using the Platform or any Platform Services, you agree to be bound by these Terms of Use. The Company may modify these terms at any time. Continued use after changes constitutes acceptance.

Eligibility to Use

Not available to minors (under 18 years) or suspended users.
You may not have more than one active Account.
Selling, trading, or transferring your Account is prohibited.

User Account, Password, and Security

You must provide accurate and up-to-date information.
You are responsible for maintaining confidentiality of your Account.
The Company may suspend/terminate your Account for false/inaccurate information.

Fees, Charges and Subscriptions

Subscriptions may start with a free trial.
Various options: pay-per-session, monthly, quarterly, half-yearly, annual, etc.
Recurring subscriptions can be cancelled before renewal.
Non-recurring subscriptions are non-cancellable.
Promotions/discounts have specific terms and may not be combinable.

Payment Services

All payments are processed through the Platform.
You must use valid Payment Details with sufficient funds.
The Company is not liable for failed payments due to insufficient funds, expired cards, etc.

Refund Policy

Fitness Services & Fitzone Services: Non-refundable, non-exchangeable, non-saleable.
Digital Services: Refunds not available for partial periods. Cancel before renewal to avoid next billing.
The Company may terminate the relationship and issue pro-rata refunds where applicable.

Use of Platform

You are granted a limited, revocable privilege to use the Platform. You agree not to:

Use automated tools (robots, spiders, etc.) to scrape content.
Upload viruses or harmful code.
Harass, defame, or violate others’ rights.
Reverse engineer the Platform.
Interfere with the Platform’s security or operations.

Intellectual Property Rights

All Content, trademarks, logos, and Marks on the Platform are owned by the Company or its licensors. You may not use them without prior consent.

Disclaimer of Warranties & Liability

The Platform and Services are provided “as is” without any warranties. The Company disclaims liability for:

Uninterrupted or error-free service.
Accuracy of information.
Any damages arising from use of the Platform.

Indemnification and Limitation of Liability

You agree to indemnify the Company and its affiliates against any claims arising from your breach of these Terms.

The Company’s aggregate liability shall not exceed the fees actually paid by you.

Violation of Terms

Violation may result in injunctive relief, termination of access, and recovery of legal fees.

Suspension and Termination

The Company may suspend or terminate your Account at its discretion for any breach. Transactions completed before termination remain payable.

Governing Law

These Terms shall be governed by the laws of India and subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.

Communications

You consent to receiving SMS and emails. You may opt-out by contacting grievances@fit.zone.

General Provisions

Notice: Served via email or Platform notification.
Assignment: Company may assign rights; you cannot.
Severability: Invalid provisions will be enforced to the maximum extent possible.
Entire Agreement: This document (including Annexures) constitutes the entire agreement.
